1. Introduction

These Terms and Conditions (“Terms”) govern the use of the Investogram platform (“Investogram”, “we”, “our”, “us”) accessible at investogram.io. Investogram operates as a Software-as-a-Service (SaaS) private networking platform, enabling verified users to connect, communicate, and collaborate on investment-related opportunities.

By accessing or using Investogram, you agree to comply with these Terms. If you do not agree, you must not use the platform.

2. Nature of Service

Investogram is not a crowdfunding platform, broker-dealer, or financial intermediary. Investogram does not:

• Handle or transfer any funds between users.
• Provide investment advice or portfolio management.
• Recommend or endorse any specific opportunity.

Investogram solely provides a digital networking and visibility service, allowing users to present, discover, and communicate about projects. All negotiations and transactions occur directly between users, who remain fully responsible for their due diligence, legal documentation, and compliance with applicable laws.

3. User Accounts and Verification

Registration is open to individuals and legal entities over 18 years old. Access to certain features requires identity verification (KYC). By submitting verification data, you authorize Investogram and its service providers to process and store this information in compliance with applicable data protection laws (GDPR).

Investogram reserves the right to refuse or terminate accounts that do not meet its verification standards.

4. Services and Fees

Investogram provides both free and paid services, including but not limited to:

• Premium subscriptions and visibility boosts.
• Listing of verified projects.
• Access to private introductions and networking features.

Investogram may also charge service fees for premium visibility, messaging features, or analytics access. Such payments are for access and SaaS functionality only — not for brokerage or transaction participation.

Users acknowledge that they remain solely responsible for the terms and execution of their own transactions.

5. Prohibited Use

Users shall not:

• Post false, misleading, or incomplete information.
• Solicit unverified investments or advertise public fundraising.
• Circumvent Investogram’s payment systems or fees.
• Use the platform for illegal, fraudulent, or unethical purposes.

Investogram reserves the right to suspend or terminate any account violating these Terms.

6. Liability Disclaimer

Investogram provides its services “as is” and “as available”. We make no guarantees as to the accuracy, quality, or profitability of any project or connection. We are not liable for any loss, damage, or dispute arising from user interactions, introductions, or investments.

Users agree to hold Investogram harmless from any claim related to the use of the platform.

7. Data Protection

All data is handled in accordance with the Privacy Policy. Investogram complies with GDPR and ensures secure storage and processing of user data.

8. Termination and Account Deletion

Investogram may suspend or delete accounts at its discretion in case of:

• Misuse of the platform.
• Non-payment of fees.
• Regulatory or legal risks.

Users may delete their account at any time directly from their profile settings. Upon deletion, all personal data will be permanently removed from Investogram’s servers in accordance with data protection laws.

9. Governing Law

These Terms are governed by and interpreted under the laws of the United Kingdom (if Investogram is UK-based) or the European Union if domiciled in the EU. Any disputes shall be submitted to the competent courts of London, UK.

10. Anonymous Listings and Introductions

Entrepreneurs and project owners may choose to publish opportunities anonymously. In such cases:

• Their identity will not be publicly visible.
• Verified users can send a “Request Introduction.”
• The project owner may accept or decline at their sole discretion. If accepted, both parties’ contact details become visible.
• Investogram acts solely as a technical intermediary and does not influence or guarantee introductions.

11. Verified Real Estate Agents and Deal Providers

Investogram may grant access to a limited number of verified real estate agents and deal providers, selected for their professional integrity and quality of opportunities.

These users may publish off-market or private real estate opportunities under the same confidentiality and KYC standards. Investogram does not act as a broker, intermediary, or agent in any transaction.

Investogram reserves the right to verify, suspend, or remove any agent or provider whose listings violate platform standards.

12. Exclusivity of Listed Opportunities

All opportunities published on Investogram must be exclusive and not publicly listed elsewhere. By submitting an opportunity, the user represents that:

• The project or property is off-market and not currently advertised on any public or competing platform.
• The user has legitimate authority to propose or present the opportunity.

Any breach of this exclusivity may result in suspension or permanent removal of the user’s account. Investogram reserves the right to verify authenticity and exclusivity at any time.
